Terms & Conditions.

These Terms & Conditions govern the professional relationship between Frequency Accounting & Business Solutions (FABS) and our clients. By engaging our services, you agree to the terms set out below. 1. Your Responsibilities

To enable us to perform our services effectively, you agree to provide access to the relevant business records as discussed at the time of engagement. This may include, but is not limited to:

  • Ongoing access to your accounting or business software

  • Bank statements

  • Credit card statements

  • Cheque books (where applicable)

  • Receipts and invoices

  • Bank deposit books or relevant bank transfer information

  • Answers to queries in a timely manner as required

Please note: Unless otherwise discussed and agreed in writing, it is your responsibility as the business owner to maintain the accuracy of your business records. We may request source documents and will process transactions based on the information you provide.

You must hold copies of all relevant documentation in compliance with ATO standards. ABNs of suppliers must be checked at least once per year. All documentation required for financial reporting must be received 14 days prior to due lodgement dates. FABS will not be liable for penalties or late fees if documentation has not been provided to us in time.

A separate signed authority must be provided for any payments made on your behalf. A separate specific authority form must be provided for each ATO lodgement.

2. Terms of Engagement

Fees are charged in accordance with our standard schedule of fees, which will be outlined in your Client Agreement. If proposed work is expected to exceed the standard rate or scope, we will discuss this with you in advance before proceeding.

 

We reserve the right to increase our fees at any time, with written notice provided to you. Additional work outside the agreed scope will be charged at the applicable rate, and we will seek your approval before commencing such work.

3. Annual Documentation & Review

The Tax Practitioners Board (TPB) and Institute of Certified Bookkeepers (ICB) require that engagement terms be kept current. A new Client Agreement is therefore required annually.

The scope of services and fee schedule are subject to annual review. We will contact you prior to the renewal date to confirm any changes and arrange your updated agreement.

4. Terms of Payment

Fees are charged monthly in arrears, invoiced on the first calendar day of each month. Payment is required within 7 days of invoice.
 

Our preferred payment method is direct bank transfer. Credit card facilities are available and may attract a surcharge of up to 1.5%.
 

Where payment remains outstanding in excess of 30 days, FABS reserves the right to:

  • Cease work until payment is received

  • Charge an upfront recovery and administration fee of $165 (inc. GST)

  • Charge interest on outstanding balances at a rate of 9% per annum

  • Refer the outstanding amount to a third-party collection service

5. Termination

Either party may terminate the engagement by providing 30 days' written notice to the other party.

A changeover fee of $275 (inc. GST) may apply to cover the costs associated with closing off files, preparing records for handover, and facilitating a professional transition to a new bookkeeper or accountant.

6. Confidentiality

All matters relating to your business are treated as strictly confidential. FABS will not disclose any information pertaining to your business or personal affairs to any third party without your written authorisation, except where required by law or a relevant regulatory authority.

This obligation of confidentiality continues beyond the end of our engagement.

7. Payroll Matters

Where we are engaged to manage your payroll, we will ensure that employee payments comply with applicable FairWork Australia requirements and modern award obligations. We will advise you promptly of any concerns that arise in relation to payroll compliance.

If we identify that your business is operating in breach of FairWork provisions, we will notify you immediately and recommend rectification. We will not knowingly facilitate non-compliant payroll practices.

8. Communication

You agree to keep us informed of all current business contact details, including any changes to your business address, phone number, and email address. Changes to authorised personnel and their levels of authority should be advised to us promptly and in writing.

9. Lodgement

All ATO lodgements require your written authorisation prior to submission. Fines, penalties, and interest charges apply to late lodgements. Where a late lodgement is caused by your failure to provide timely authorisation or documents, FABS accepts no liability for such penalties.

10. Review of Documentation

The responsibility for reviewing all final reports, financial statements, and lodgement documents rests with you as the business owner. You should review all documents prior to authorising lodgement or submission.

Corrections to errors made by FABS will not be charged. Revisions requested by you, including changes to data or information you have provided, will be charged at the standard hourly rate.

11. Responsibility for Records

The primary responsibility for maintaining your business records rests with you. This includes:
 

  • Retention of source documentation for a minimum of seven (7) years in accordance with ATO requirements

  • Maintaining the security of all business and financial records

  • Taking reasonable steps to prevent loss, damage, or fraud in relation to business records

12. Standards & Dispute Resolution

FABS is committed to delivering the highest standard of professional bookkeeping and accounting services. If you have concerns about the quality of our service, we encourage you to contact us directly so we can work to resolve the matter promptly and professionally.

As a member of the Institute of Certified Bookkeepers (ICB), FABS is subject to the ICB's code of ethics, professional standards, and disciplinary processes.

​

Both parties agree to attempt to resolve any disputes through good-faith discussion, and if necessary, through mediation and arbitration, before initiating any legal action. Australian law governs these terms.

13. Indemnity

You agree to indemnify FABS and hold us harmless against any loss, claim, damage, or liability arising from third-party claims that result from services provided based on information or instructions supplied by you.
